MATRIX FORMED, LLC IS INTENDED FOR SPECIFIC NON-EMERGENCY MEDICAL CONDITIONS AND CONCERNS. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, PLEASE DIAL 911 OR CONTACT YOUR LOCAL MEDICAL PROVIDER IMMEDIATELY.
BY CLICKING “I AGREE,” CHECKING ANY BOX TO INDICATE YOUR ACCEPTANCE, OR USING ANY OTHER ACCEPTANCE METHOD PRESENTED THROUGH THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, YOU ARE NOT PERMITTED TO CREATE AN ACCOUNT OR USE MATRIX REFORMED, LLC SERVICES.
THIS AGREEMENT INCLUDES A MANDATORY ARBITRATION CLAUSE. UNLESS YOU OPT OUT AS DESCRIBED BELOW, YOU AGREE THAT ANY DISPUTES BETWEEN YOU AND MATRIX REFORMED, LLC OR ITS ASSOCIATED MEDICAL PROVIDERS ARISING FROM THESE TERMS WILL BE RESOLVED BY INDIVIDUAL ARBITRATION. YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
I. Introduction
Matrix Reformed, LLC (also referred to as “Matrix Reformed,” “we,” or “us”) operates the website www.matrixreformed.com and may in the future operate a mobile application. Together, these form the Matrix Reformed Service (“Service”). By accessing or using any part of the Matrix Reformed Service, you agree to be bound by these Terms of Service (“Agreement”), which is a legally binding agreement between Matrix Reformed and you, the user.
II. Acceptance of the Terms
Your use of Matrix Reformed Services is governed by this Agreement and all applicable laws and regulations. If you do not accept these Terms, you are strictly prohibited from using the Service. Matrix Reformed reserves the right to revise these Terms or modify any part of the Service at any time, with changes effective upon posting. Continued use of the Service after changes constitutes acceptance of the modified Terms.
III. Our Relationship with You
These Terms apply to your use of any service provided by Matrix Reformed for which you are enrolled or have scheduled a consultation, as described below:
Telehealth Consultations and Services: Matrix Reformed facilitates access to licensed providers (“Providers”) who offer healthcare services through Matrix Reformed. These Providers are solely responsible for the medical services you receive.
IV. Membership with Matrix Reformed
Upon signing up and agreeing to these Terms, you will be enrolled as a “Basic Member” of Matrix Reformed and have access to the specific healthcare programs and services available through our Service.
Basic Membership Includes: Use of the Matrix Reformed website, and access to customer support, pharmacy and care coordination, health information management, and the option to call a hotline for clinical concerns.
Note: By accepting these Terms, you consent to Matrix Reformed managing and coordinating healthcare services on your behalf, including prescription services through licensed pharmacies.
V. Independent Medical Judgment
Matrix Reformed does not practice medicine and does not control the clinical services provided by independent healthcare providers affiliated with our Service. Providers exercise their independent medical judgment and are solely responsible for your healthcare services, including diagnoses and treatment plans. Matrix Reformed does not assume responsibility for medical services provided by these independent professionals.
VI. Pharmacy Services
Matrix Reformed is not a pharmacy and does not control pharmacy services. By accepting these Terms, you understand that Matrix Reformed may coordinate with independent pharmacies for the fulfillment of prescribed medications, and Matrix Reformed is not responsible for the provision of pharmacy services.
VII. Electronic Communications
When you enroll in and use Matrix Reformed services, you consent to conduct business electronically with us and to engage in health-related activities with our affiliated medical providers. This electronic consent has the same legal effect as your written signature. By using our services, you authorize Matrix Reformed, its affiliates, and its medical partners to send you disclosures, notifications, and other communications to your registered email address or phone number. Matrix Reformed is not responsible for the security or privacy of your email or messaging service. You are solely responsible for monitoring these communications and responding as necessary.
If you disagree with any of these Terms or our Privacy Policy, you should discontinue use of Matrix Reformed services immediately.
VIII. Laboratory Products and Services
Laboratory services, including at-home testing kits, may be offered through Matrix Reformed and require a valid order or prescription by a licensed healthcare provider. Matrix Reformed coordinates the shipment of any testing materials to you, and the costs are included in your service fee. These laboratory products and services are considered “Third-Party Goods and Services” under this Agreement.
IX. Third-Party Goods and Services
Matrix Reformed may coordinate services provided by independent laboratories, pharmacies, medical groups, and other third-party providers (collectively, “Third-Parties”). By using any Third-Party Goods and Services through Matrix Reformed, you acknowledge that any interactions, including payment or service disputes, are solely between you and the respective Third-Party provider. Matrix Reformed is not responsible for resolving disputes with these Third-Party providers.
If you are a California resident, you waive your rights under California Civil Code Section 1542, which states: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
X. Modification and Termination of Rights
Matrix Reformed reserves the right to modify or terminate any of the rights granted in these Terms and your access to our services at any time, with or without notice, including if your use of the service violates applicable laws or these Terms. In the event of termination, Matrix Reformed may delete your account data in accordance with our policies.
If we terminate your use of the Service, the following sections of this Agreement will remain in effect: Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, Arbitration, and Class Action Waiver.
XI. Eligibility
To use Matrix Reformed services, you must meet the following eligibility criteria:
Be at least 18 years old.
Reside in the United States, in a state or territory where Matrix Reformed services are available.
Have compatible devices with internet access to use the Sites and services.
Agree to comply with these Terms of Service.
Meeting these requirements does not guarantee that Matrix Reformed will provide services to you. Additionally, providers affiliated with Matrix Reformed may determine on a case-by-case basis whether certain healthcare services are appropriate.
XII. Availability
Matrix Reformed services are subject to state regulations and may change over time. Currently, services are available in select states. For a list of eligible states, please refer to the Matrix Reformed website.
XIII. Registration, User Accounts, and User Data
When registering for Matrix Reformed services, you agree to provide accurate and complete information. You are responsible for keeping your account information updated. Matrix Reformed reserves the right to suspend or terminate your account if your information is inaccurate or incomplete.
By submitting information to Matrix Reformed, you grant us and our affiliates the right to use, display, and process your data as needed to provide you with services. This includes sharing relevant information with medical providers, pharmacies, and laboratories affiliated with our Service.
XIV. Protected Health Information (PHI)
Matrix Reformed is committed to handling your health information responsibly. While Matrix Reformed may assist with storing and sharing your health information with medical providers, laboratories, and pharmacies, you should be aware that not all entities are governed by HIPAA. Matrix Reformed may act as a “business associate” for certain entities where HIPAA applies, but in other cases, HIPAA protections may not apply.
By using Matrix Reformed, you consent to share your health information with affiliated and unaffiliated entities as necessary to facilitate services.
XV. Terms of Sale
All products and services offered by Matrix Reformed are subject to availability, and we reserve the right to limit quantities or refuse orders at our discretion. Prices are subject to change, and applicable taxes are calculated at checkout.
You agree to pay for products and services ordered through Matrix Reformed, using only authorized payment methods. Matrix Reformed and its payment processors may update payment information automatically if necessary to process future transactions.
XVI. Your Responsibilities and Acknowledgments
You are responsible for maintaining the security of your account and personal information. Matrix Reformed is not liable for any loss resulting from unauthorized access to your account due to your failure to safeguard your information. You agree to promptly notify Matrix Reformed of any unauthorized use of your account.
By using the Matrix Reformed service, you confirm that all information provided is accurate and that you will update it as needed. If Matrix Reformed suspects that your information is inaccurate or fraudulent, we reserve the right to suspend or terminate your account.
XVII. Restrictions on Use
In using Matrix Reformed, you agree to avoid any prohibited activities, such as:
- Transmitting unlawful or harmful content.
- Misrepresenting your identity.
- Accessing another user’s account or information.
- Attempting to bypass security measures.
- Using automated systems (e.g., “bots”) to access the service.
- Violating any applicable laws.
Matrix Reformed may terminate your access to our services if you engage in prohibited activities or fail to comply with these Terms.
XVIII. Licensing
Matrix Reformed grants you a personal, limited, non-transferable license to access and use our service for your personal and non-commercial use. Any unauthorized use, reproduction, or distribution of Matrix Reformed’s content is prohibited.
XIX. Limited Healthcare Services
Matrix Reformed does not provide medical advice or create a provider-patient relationship. Medical services facilitated through Matrix Reformed are limited to specific non-emergency health conditions. Providers may recommend an in-person consultation if they determine that your health concerns cannot be adequately addressed through telehealth.
MATRIX REFORMED IS NOT LIABLE FOR ANY ADVICE, DIAGNOSIS, OR TREATMENT YOU RECEIVE THROUGH AFFILIATED PROVIDERS.
XX. Telehealth Consent
Telehealth involves electronic communications and technology to connect patients with licensed healthcare providers in different locations. By using Matrix Reformed telehealth services, you acknowledge and accept the potential benefits and risks associated with remote healthcare.
Please review our full Telehealth Informed Consent document, which details the treatment methods, risks, and limitations of using telehealth services. By using Matrix Reformed services, you agree to the terms of the Telehealth Informed Consent and acknowledge that Matrix Reformed is entitled to enforce its terms on behalf of the affiliated medical providers.
XXI. Payments
You agree to pay all fees for services provided through Matrix Reformed, including any fees charged by independent medical providers and pharmacies. By entering your payment information, you authorize Matrix Reformed and its payment processors to charge you for services rendered.
Payments are due upon request of service. Matrix Reformed does not accept insurance, so all services are on a cash basis. Your payment covers the cost of consultations, prescriptions, and other related services. Matrix Reformed cannot accept returns for prescription medications, and all sales are final. If there is an error with your prescription, contact us through your Matrix Reformed account or by phone.
XXII. Subscription Products and Services
Some Matrix Reformed services may require enrollment in an automatically renewing subscription. By enrolling, you consent to regular, automatic charges to your payment method at the intervals specified in your plan. Subscription fees are non-refundable, except as outlined in Matrix Reformed refund policy.
Your subscription will continue until canceled. You may cancel at any time, but you will retain access to the service until the end of the billing period.
XXIII. Cancellations and Refunds
A. Initial Cancellation:
If you cancel your membership within 30 days of your initial enrollment, you are eligible for a full refund of your first month’s fee. Your membership access will be revoked immediately.
B. Cancellation After 30 Days:
After the first 30 days, cancellations are non-refundable, but you will retain access until the end of the current billing period.
If you cancel with an active prescription on file, you may reactivate your membership for a reactivation fee equal to one month’s subscription cost.
This reactivation fee will be charged at the same time as the new monthly subscription fee.
To cancel your subscription, please email [email protected] or call our customer service line. Your subscription will automatically renew unless canceled at least thirty (30) days before the renewal date.
Matrix Reformed reserves the right to issue refunds on a case-by-case basis. You may also have the option to pause your subscription.
XXIV. Prescription Products
Certain products available through Matrix Reformed require a valid prescription from a licensed healthcare provider. A consultation with a provider does not guarantee a prescription. Prescriptions are issued only if clinically appropriate.
Matrix Reformed coordinates with pharmacies to fulfill prescriptions, but you may choose to fill your prescription at a local pharmacy if you prefer. If you choose a pharmacy outside our network, Matrix Reformed is not responsible for any additional costs or variations in pricing.
Some prescription products may not be dispensed in child-resistant packaging, so please handle them with care.
XXV. Privacy
Matrix Reformed values your privacy. For details on how we collect, use, and protect your personal information, please review our Privacy Policy and Notice of Privacy Practices.
XXVI. Intellectual Property
Matrix Reformed owns all rights to the content, features, and functionality of its services, including but not limited to text, software, images, videos, and audio. You are granted a limited, non-transferable license to access and use Matrix Reformed services solely for your personal, non-commercial use. Unauthorized use of Matrix Reformed content is strictly prohibited.
All trademarks, logos, and service marks displayed on Matrix Reformed services are the property of Matrix Reformed or its affiliates. You may not use these marks without our express written permission.
XXVII. Third-Party Links and Websites
Matrix Reformed may include content or links to third-party websites as a convenience. Matrix Reformed does not control or endorse these third-party sites and is not responsible for their content, accuracy, or privacy practices.
By accessing third-party websites, you assume all risks associated with the use of such content and services. Matrix Reformed disclaims any liability for third-party websites and content.
XXVIII. Disclaimer of Warranties
MATRIX REFORMED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MATRIX REFORMED DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MATRIX REFORMED DOES NOT GUARANTEE THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS LIKE VIRUSES.
XXIX. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRIX REFORMED AND ITS AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE MATRIX REFORMED SERVICES. IN NO EVENT SHALL MATRIX REFORMED LIABILITY EXCEED $1,000.
XXX. Notice
Any notices from Matrix Reformed regarding services or this Agreement may be sent to you by email, regular mail, or posted on our website.
XXXI. Indemnification
You agree to defend, indemnify, and hold Matrix Reformed, its affiliates, medical providers, pharmacies, and other partners harmless from and against any claims, damages, liabilities, costs, or expenses arising from your use of the service or breach of this Agreement.
XXXII. Modifications to the Service
Matrix Reformed reserves the right to modify, suspend, or discontinue services at any time without notice. Matrix Reformed will not be liable for any modifications or interruptions to its services.
XXXIII. Suspension and Termination of Rights
These Terms remain in effect for as long as you use Matrix Reformed services. Matrix Reformed may suspend or terminate your access at any time if you violate these Terms or for any other reason at its discretion. Termination of services does not affect Matrix Reformed right to enforce its terms or seek damages for violations.
XXXIV. Governing Law, Dispute Resolution, and Arbitration
This Agreement is governed by the laws of the State of Florida. Any disputes related to these Terms will be resolved in the state and federal courts of Florida, except as outlined in the Arbitration section.
Arbitration Agreement:
You agree that any legal dispute between you and Matrix Reformed will be resolved by confidential binding arbitration conducted by the American Arbitration Association (AAA). This agreement to arbitrate includes all claims and disputes, whether they arise before or after termination of this Agreement.
Opt-Out of Arbitration
You may opt out of arbitration within 30 days of first agreeing to these Terms. To opt out, send a notice to Matrix Reformed, LLC, 7901 4th St N #25584; St. Petersburg, FL 33702, ATTN: Arbitration Opt-Out with your name, address, and a clear statement that you wish to opt out of arbitration.
XXXV. Copyright Infringement
Matrix Reformed respects intellectual property rights and will remove content that infringes on copyrights. We comply with the Digital Millennium Copyright Act (DMCA) and respond to clear notifications of copyright infringement.
Notification of Claimed Copyright Infringement:
If you believe your copyrighted work has been improperly used on Matrix Reformed platform, please submit a notification to our Designated Agent at [email protected].
Your notification must include:
An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
Identification of the copyrighted work claimed to be infringed.
Identification of the material that you claim is infringing and information on where it is located.
Your contact information, including address, phone number, and email.
A statement that you have a good-faith belief that the use of the material is unauthorized.
A statement under penalty of perjury that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.
XXXVI. Severability of Provisions
If any part of this Agreement is deemed unenforceable or invalid, the unenforceable part will be interpreted in line with applicable law to closely reflect the original intent. The remainder of the Agreement will continue to be in effect. Matrix Reformed failure to enforce any part of these Terms does not constitute a waiver of our right to enforce them.
XXXVII. Third-Party Beneficiaries
Certain terms of this Agreement may involve third-party providers, such as medical groups, laboratories, or pharmacies. These third parties may have their own policies and terms governing their services, and your use of these services is subject to those third-party terms.
However, other than as specifically mentioned, this Agreement does not create third-party beneficiary rights or equivalent in any other person, organization, or entity beyond Matrix Reformed and its direct partners as outlined.
XXXVIII. No Agency
This Agreement does not create any partnership, joint venture, employment, or agency relationship between you and Matrix Reformed. You are not authorized to act on behalf of Matrix Reformed or bind the company in any way.
XXXIX. Assignment
You may not assign any rights under this Agreement without prior written consent from Matrix Reformed. Matrix Reformed reserves the right to transfer or assign this Agreement to any affiliate or third-party in the event of a merger, acquisition, or sale of assets.

A. Disclaimer of Warranties
MATRIX REFORMED PROVIDES SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MATRIX REFORMED DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
MATRIX REFORMED DOES NOT GUARANTEE THAT ITS SERVICES WILL MEET YOUR EXPECTATIONS, BE ERROR-FREE, OR OPERATE WITHOUT INTERRUPTIONS. USE OF THE SERVICE IS AT YOUR OWN RISK.
B. Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, MATRIX REFORMED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
MATRIX REFORMED TOTAL LIABILITY TO YOU SHALL NOT EXCEED $1,000, REGARDLESS OF THE TYPE OF CLAIM OR THE NUMBER OF INCIDENTS.
C. Indemnification
You agree to indemnify, defend, and hold harmless Matrix Reformed, its affiliates, and associated third parties from any claims, liabilities, damages, costs, or expenses arising from your use of the service, violation of these Terms, or violation of any third-party rights.
XLII. Dispute Resolution, Governing Law, and Arbitration
This Agreement is governed by the laws of the State of Florida. Any disputes arising from or related to these Terms will be resolved through arbitration in accordance with the procedures outlined above.
Arbitration Agreement
You and Matrix Reformed agree to resolve any disputes through binding arbitration rather than court proceedings, except as provided for small claims court actions. Arbitration will be conducted by the American Arbitration Association (AAA) and will follow its Consumer Arbitration Rules.
Opt-Out: You have the option to opt out of arbitration within 30 days of accepting these Terms. Send your opt-out notice to Factor Health MD, 7901 4th St N #23110; St. Petersburg, FL 33702, ATTN: Arbitration Opt-Out.
Class Action Waiver
YOU AND FACTOR HEALTH MD AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS ONLY, WAIVING ANY RIGHT TO A CLASS OR REPRESENTATIVE ACTION. YOU CANNOT JOIN YOUR CLAIMS WITH OTHERS OR ARBITRATE CLAIMS ON BEHALF OF A CLASS.
Small Claims Court
If a dispute qualifies, you or Matrix Reformed may bring a claim in small claims court rather than arbitration.
Survival
This arbitration agreement will survive the termination of your relationship with Matrix Reformed
XLIII. Privacy Policy
Matrix Reformed is committed to protecting your privacy. Please review our Privacy Policy for details on how we handle your personal and health information. By using our services, you agree to the terms outlined in the Privacy Policy.
XLIV. Entire Agreement
These Terms, along with the Privacy Policy, constitute the entire agreement between you and Matrix Reformed regarding the services and supersede all previous agreements or representations.
XLV. Changes to the Terms
Matrix Reformed may revise these Terms at any time. Any modifications will be effective immediately upon posting on the Matrix Reformed website. Continued use of the service after the changes constitutes acceptance of the revised Terms.
